Kristen Prohl is the general counsel, corporate secretary and chief administration officer at Unisys. She is responsible for the company’s legal affairs, corporate governance functions, corporate development and mergers and acquisitions, ethics and compliance, and the Unisys Environmental, Social and Governance (ESG) program. She also oversees business-critical functions such as corporate real estate worldwide, global procurement and crisis management.
Kristen is a seasoned professional with more than 20 years of legal experience and has held senior positions across legal, corporate governance, security disclosure, compliance, and mergers and acquisitions (M&A). Most recently, she served as vice president, deputy general counsel, chief compliance officer and corporate secretary at ITT, Inc. Prior to ITT, Kristen held high-ranking legal roles at American International Group, Inc., CA Technologies and Starwood Hotels & Resorts Worldwide, Inc.
Her vast experience includes hands-on leadership responsibility for areas such as SEC reporting, NASDAQ listing requirements, capital market transactions and data privacy. She also has spearheaded the development and implementation of global anti-corruption and compliance programs that included risk analysis, corporate-wide policies, extensive training, and audit and monitoring systems.
Kristen has served on the board of directors of the Association of Corporate Counsel, Westchester County NY/Southern Connecticut, since 2016. Early on in her career, she was a corporate associate at Proskauer Rose LLP. Kristen earned a J.D. and a Bachelor of Arts from the University of Virginia.
